5. User AccountsIf you create a user account on Refunnel, you are responsible for maintaining the confidentiality of your login details. Refunnel shall not be liable for any loss or damage arising from unauthorized use of your account.
6. Termination of Access Refunnel reserves the right to terminate your access to its services without prior notice and without liability, for any reason whatsoever, including without limitation if you breach these Terms.
7. Disclaimer of Warranty Refunnel provides services on an "as is" and "as available" basis. Refunnel does not warrant that services will meet your specific requirements, or that they will be uninterrupted, timely, secure, or error-free.
8. Payment Terms Customers shall pay Refunnel the fees, costs, and expenses as outlined in each Order. Subscription fees under an Order shall be payable in advance of the applicable period. Except as explicitly described herein, Subscription fees are non-refundable and non-cancellable. Customers agree to pay undisputed amounts on each invoice within thirty (30) days of the invoice date, and each invoice shall be deemed undisputed unless Refunnel receives written notice specifying the basis for dispute within thirty (30) days from the invoice date. All payments must be made in U.S. dollars without any deductions. Amounts not paid by the due date shall incur a late fee of 1.5% per month or the maximum amount permitted by law, whichever is less. Customers agree to indemnify Refunnel for reasonable costs incurred in collecting fees owed. Customers are responsible for paying all applicable withholding, sales, value-added, or other taxes, duties, or charges, excluding taxes based solely on Refunnel’s net income. Refunnel reserves the right to immediately suspend Subscriptions if payments for undisputed amounts remain unpaid fifteen (15) business days after providing written notice of such late payment. Any pre-printed terms or conditions on purchase orders or other documents from the customer shall have no effect.
9. Limitation of Liability Under no circumstances will Refunnel, its affiliates, directors, employees, or partners be liable for any indirect, incidental, special, consequential or punitive damages resulting from your use or inability to use Refunnel's services, even if advised of the possibility of such damages.
10. Governing Law These Terms and Conditions shall be governed and interpreted in accordance with the laws of Delaware where Refunnel operates, without regard to conflicts of law principles.
11. Indemnification You agree to indemnify and hold Refunnel and its affiliates, officers, directors, employees, and agents harmless from any claims, demands, losses, liabilities, and expenses arising out of your use of the services.
12. Severability If any provision of these Terms and Conditions is found invalid or unenforceable by a competent jurisdiction, the remaining provisions will remain in full force and effect.
13. Entire Agreement These Terms constitute the entire agreement between Refunnel and you concerning your use of the services and supersede any prior agreements.
